Subscription services

Hosting applications and other subscription services aka "product" follow general Sales Terms expressed elsewhere on this page. Seller provides value-added hosting and applications services. Uptime and quality-of-service connections etc are dependent on service provider and other vendor commitments and SLA agreements. We will happily work with you to process service disruption claims and/or alternate services.

General work-order protocol

To start, be prepared to discuss the details of your project. Have project material available for review to reduce your time with us. You do not have to have answers for everything. We can work together to determine what is best for your project.

Up to 2 hours of free consultation are provided for situation analysis and estimating project costs. We are prepared to enter a project at most any phase.

Common project phases:

  • Conceptualization (propose and consider)
  • Planning (determine goals, strategies, contingencies, tactical (resource deployment)
  • Implement (charted in the work-breakdown structure)
  • Verification and refine focus (or project end)

In project budgeting, usually Planning and Implementing cost the most, though sometimes lots of creativity can slow the development of a stable conceptualization. Involving us early in the project can help reduce overall costs.

Changes

We regularly monitor actual costs versus estimated costs. In the event that we forecast a significant increase in costs, we notify and discuss the matter with the client immediately. We identify factors that are increasing costs and discuss possible changes to the original plan. In any case, we do not like to surprise clients with increased costs. We provide early feedback if a change from the estimate is becoming evident, so that work in progress is not affected.

Sales Terms

Purchaser: customer or entity listed on invoice or receipt and receiving material or service aka "product" from Seller.

Product Suitability

Many places have codes and regulations governing sales, construction, installation, and/or use of products for certain purposes, which may vary from those in neighboring areas. Seller attempts to offer only products that meet the broadest of such codes, but cannot guarantee compliance, and cannot be responsible for how the product is installed or used. Before purchase and use of a product, please review the product application, and national and local codes and regulations, to be sure that the product, installation, and use will comply with them.

Product Availability

Some products may not be available for sale in all areas.

Product Substitution

Products, and the country of origin of products, may be substituted and may not always exactly match catalog descriptions and/or images, but should be of equal or greater market value.

Replacement Parts

Replacement parts are available for many products. Use the manufacturer's number or our catalog reference number to order parts, or contact us to inquire about parts not in catalog.

Bids and Price Quotes

We welcome the opportunity to furnish you with a price quote for quantity purchases. On receipt of your request, we will furnish you with a quote including shipping charges.

Special Orders

Special orders, such as for custom built items or items built as needed, require payment in advance and are nonrefundable.

Back Orders

We pride ourselves in prompt shipment. If items are back-ordered, we will notify you of their estimated arrival date. If you wish to cancel a back-order, please contact us for a prompt refund if applicable.

Order Cancellations

Order cancellations reaching us before order processing will be honored. Orders cancellations after order processing has begun are processed as Returning Merchandise and may be subject to restocking fees and other charges.

Returning Merchandise

Returns must be returned within 21 days of initial shipment. Products must be in original, unopened, undamaged cases, suitable for immediate resale. Proof of purchase from Seller is required.

If an error was made by us, we will gladly pay for its return, or make other arrangements to your satisfaction.

Returns may be subject to a service provider's, vendor's, manufacturer's or distributor's returned goods policy, which usually includes a restocking or termination fee ranging from 15% to 30% depending on item and distribution partner. You are welcome to inquire before buying.

Payment

We accept credit cards, as well as pre-payment by PayPal and some digital coin. Prepayments require "collected funds" status before shipping. For non-FPO/APO orders originating outside the USA, we accept pre-payment by certain digital coins and related services. Contact for specifics.

Pricing

The shopping cart will display estimated shipping charge options if applicable. You can choose your shipping method on the page where you enter your address. When a quoted shipping charge is significantly different than actual cost, such as when shipping internationally, you will be notified of the actual shipping and handling charge before we send the order.

Items sold may be subject to additional taxes, excises or other charges levied by a government relating to the sale, consumption or use of one or more items sold to you.

Permits, Export, and Import Licenses

Customer is responsible for obtaining any licenses or other official authorizations and complying with any regulations and laws required by the country of importation and/or under the US Export Administration Act, Toxic Substances Control Act, or other applicable legislation or regulations; including but not limited to the Department of Defense or Department of State regulations.

Hazardous Materials

Material Safety Data Sheets (MSDS) are available upon request for all products determined by OSHA to be Hazardous Substances.

Manufacturer's Warranty and Service Provider's Service Level Agreement

We will gladly assist you with processing manufacturer warranty and service disruption claims for products purchased from us. In certain cases, you may find faster service by directly contacting the manufacturer or vendor.

Limited Warranty

Seller does not express warranties or implied warranties including, but not limited to, the warranties of merchantability and fitness for a particular purpose.

Warranty Disclaimer

No warranty or affirmation of fact, express or implied, other than as set forth in the limited warranty statement above is made or authorized by Seller. Seller can assist in helping obtain manufacturer warranty and service level agreement information.

Limited Liability

Seller is not subject to and disclaims all consequential or incidental damages claimed to result from use of our products as well as products sold by us that are due to product misuse, improper product selection or misapplication, and any description does not express or imply a warranty that the products are merchantable or fit for a particular purpose. Any liability for consequential, incidental, special, exemplary, or punitive damages is expressly disclaimed. Seller's liability in all events is limited to, and shall not exceed the purchase price paid for the product in the particular order that gives rise to any liability.

Force Majeure

Seller shall not be liable for any delay in or impairment of performance resulting in whole or in part from any force majeure event, including but not limited to Acts of God, labor disruptions, shortages, inability to procure product, supplies or raw materials, severe weather conditions, or any other circumstances or cause beyond the control of Seller in the conduct of its business.

Waiver

The failure of either Seller or Customer to assert a right hereunder or to insist upon compliance with any term or condition will not constitute a waiver of that right or excuse any subsequent nonperformance of any such term or condition by the other party.

Statement About Terms

All orders by Customer to purchase products from Seller are subject to acceptance by Seller. Seller's acceptance of any order is conditioned upon Customer's agreement to all terms and conditions applicable to the transaction. No additions or modifications of terms and conditions by Customer shall be binding upon Seller unless agreed to by Seller in writing.

If a purchase order or other correspondence contains terms and conditions proposed by the Customer that are contrary to the applicable terms and conditions, Seller's acceptance of any such order shall not be construed as assent to any of the terms and conditions proposed to the Customer, and will not constitute a waiver by Seller of any of the terms and conditions pursuant to which this agreement is made.

These terms and conditions, together with any other terms and conditions that Seller publishes or makes available to Customer (i) on an invoice or a packing slip, (ii) at Seller website, or (iii) in any document including, without limitation, those involving export of products, shall constitute the entire agreement between Seller and the purchaser and shall supersede all written and unwritten statements, agreements, and understandings between Seller and Customer pertaining to the subject matter of this agreement. This agreement shall be governed by and construed according to the laws of the State of Oregon, USA.

Shipping Terms

Shipments are sent via UPS, USPS, FedEx or common carrier/freight companies for larger equipment. Standard rates apply and are added to all shipped items. Crating charges may be added to large or fragile items that need special packing.

When a quoted shipping charge is significantly different than actual cost, such as when shipping internationally, you will be notified of the actual shipping and handling charge before we send the order.

Shipments may be subject to additional taxes, duties, excises or other charges levied by a government or other third party relating to the sale, consumption or use of one or more shipped items.

No COD shipments.

Other terms, conditions, and fees may apply for freight, exports, hazardous materials, special handling by the carrier may apply, and are the responsibility of the customer. Any extra fees must be paid by the customer. Title and risk of loss pass to the customer upon tender of shipment to the carrier.

Customer must file a claim with the carrier when products are damaged during transit.

If your order has not arrived within the designated time frame, contact us. We will gladly check into the status of your order.

Damaged Shipments

We strive to package your supplies so they will reach you in good condition.

The carrier assumes the responsibility for successful delivery when they accept the package for delivery. If your package arrives damaged:

  • notify the carrier immediately and hold the merchandise and packing materials for their inspection.
  • Please also send us a description of the damage (and include your order number), so we can track the quality of service provided by the carriers.
